1. Introduction

Welcome to AvenueSpot. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AvenueSpot ("AvenueSpot," "we," "us," or "our") regarding your access to and use of the AvenueSpot website and any related services, applications, and tools (collectively, the "Platform"). AvenueSpot is a trusted real estate marketplace for renting, buying, and listing property across the UAE.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Cookies Policy, Community Guidelines, and other applicable policies. If you do not agree with these Terms, you must not access or use the Platform. 

2. AvenueSpot Service and Our Role

AvenueSpot operates as a dedicated online marketplace and connection facilitator for individuals seeking to rent rooms and partitions, and property owners ("Owners") who wish to list such spaces. 

Our Core Service: We provide an intuitive digital space and tools that allow:

• Owners to post available rooms, partitioned spaces, or rental units directly on our Platform, showcasing details, photos, and terms. 
• Seekers (individuals looking for accommodation) to browse available properties, filter by preferences, and establish direct contact with Owners to discuss details, arrange viewings, and finalize rental agreements. 

Important Note on Our Role: It is crucial to understand that AvenueSpot is solely a connection platform. We DO NOT engage in any direct transactions, property management, or contractual agreements between Owners and Seekers. Our service is limited to providing the digital infrastructure for these connections to occur. All negotiations, agreements, payments, and responsibilities for the rental arrangement rest solely and exclusively with the parties involved – the Owner and the Renter. We are not a party to any rental agreement formed between users.

3. User Eligibility and Accounts

3.1. Eligibility:

By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are accessing or using the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3.2. Account Registration:

To access certain features of the Platform, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process and keep your account information updated.
• Maintain the confidentiality of your account password and not share your account or password with others.
• Notify AvenueSpot immediately of any unauthorized use of your account.
• You are solely responsible for all activities that occur under your account.

4. User Obligations and Responsibilities

4.1. For Owners (Listers):

• Accuracy of Listings: You are solely responsible for the accuracy, completeness, and legality of all information, images, and descriptions provided in your listings. Misleading or false information is strictly prohibited.
• Legal Compliance: You must ensure that your listings and rental arrangements comply with all applicable local, national, and international laws, rules, and regulations, including but not limited to housing laws, health and safety regulations, and landlord-tenant laws.
• Availability: You must keep your listing availability updated and promptly respond to inquiries from Seekers.
• Safety: You are responsible for ensuring the safety and habitability of your listed property.

4.2. For Seekers (Renters):

• Due Diligence: You are solely responsible for conducting your own due diligence regarding any listed property and its Owner, including verifying details, arranging viewings, and assessing suitability before entering into any rental agreement.
• Lawful Use: You agree to use any rented space lawfully and in accordance with the terms agreed upon with the Owner.
• Respectful Communication: You agree to communicate respectfully and professionally with Owners and other users.

4.3. General User Conduct & Prohibited Activities:

• You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Platform.
• You must not use the Platform to post or transmit any material that is defamatory, offensive, obscene, or otherwise objectionable, or that violates any law or regulation.
• You must not attempt to gain unauthorized access to any part of the Platform, other users' accounts, or any computer systems or networks connected to the Platform.
• You must not engage in any activity that interferes with or disrupts the operation of the Platform.
• You must not circumvent or attempt to circumvent any fees or processes of AvenueSpot, or engage in any fraudulent activity.

5. Content Standards & Intellectual Property

5.1. User-Generated Content:

You retain ownership of any content (text, images, videos, etc.) that you post on the Platform. However, by posting content, you grant AvenueSpot a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such content in connection with the operation of the Platform and the promotion of AvenueSpot.

5.2. Accuracy of Content:

You represent and warrant that any content you post is accurate, not misleading, and does not violate any third-party rights, including intellectual property rights.

5.3. AvenueSpot Intellectual Property:

All content and materials available on the Platform, including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, and software, are the property of AvenueSpot or its licensors and are protected by applicable intellectual property laws. You may not use, reproduce, distribute, or create derivative works from any content from the Platform without express written permission from AvenueSpot.

6. Disclaimers

THE PLATFORM AND ALL CONTENT AND SERVICES PROVIDED ON OR THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AVENUE SPOT IS NOT A REAL ESTATE BROKER, AGENT, OR LANDLORD. WE DO NOT OWN, MANAGE, OR INSPECT ANY LISTED PROPERTIES. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS...

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AVENUE SPOT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

8. Indemnification

You agree to defend, indemnify, and hold harmless AvenueSpot, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User-Generated Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Emirate of Dubai, United Arab Emirates, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Dubai, UAE, for the resolution of any disputes arising out of or relating to these Terms or the Platform.

10. Modifications to Terms

AvenueSpot reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Platform and/or by sending an email to the address associated with your account. Your continued use of the Platform after the effective date of any modifications to these Terms constitutes your acceptance of the modified Terms.

11. Termination

AvenueSpot may, in its sole discretion, suspend or terminate your access to all or part of the Platform at any time, with or without cause, and without prior notice or liability. Upon termination, your right to use the Platform will immediately cease. You may also terminate your account at any time by following the instructions on the Platform.

12. General Provisions

12.1. Severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.2. Entire Agreement:

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AvenueSpot concerning the use of the Platform.

12.3. Waiver:

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and AvenueSpot's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
